These Terms & Conditions ("Terms") govern access to and use of the Business Reviews platform, a reputation management service that helps businesses collect, manage, and respond to the reviews left by their customers, including reviews connected through Google Business Profile and other review sources (the "Service"), provided by Business Reviews LLC ("Business Reviews," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the business you represent ("you" or "Business Customer").

1. The Service

Business Reviews provides a platform that allows a Business Customer to connect third-party accounts, such as a Google Business Profile account, in order to collect, view, monitor, and respond to reviews left by that business's customers. The Service is intended for use by businesses and their authorized personnel or agencies acting on a business's behalf, and is not a consumer review browsing or submission service.

2. Eligibility and Accounts

• You must be at least 18 years old and have the authority to bind the business you represent to these Terms.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must provide accurate and complete information when creating an account and keep that information up to date.

3. Connected Accounts

The Service allows a Business Customer to connect third-party accounts, including a Google Business Profile account, in order to retrieve and act on that business's own review data. By connecting a third-party account, you represent that you are authorized to grant Business Reviews access to that account on behalf of the business, and you authorize Business Reviews to access and use the connected account's data solely to provide the Service, consistent with our Privacy Policy.

4. Acceptable Use

You agree not to:

• Use the Service to submit, request, or incentivize fake, fraudulent, or misleading reviews.
• Use the Service in a manner that violates the terms of service of any connected third-party platform, including Google.
• Access or attempt to access accounts, data, or systems you are not authorized to access.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.

5. Subscription and Payment

Certain features of the Service may require a paid subscription. Where applicable, fees, billing cycles, and payment terms will be presented at the time of purchase. Fees are non-refundable except as required by law or as otherwise stated at the time of purchase. We may change our fees on a going-forward basis with reasonable notice.

6. Intellectual Property

Business Reviews retains all rights, title, and interest in and to the Service, including all associated software, design, and content, excluding any data or content submitted by a Business Customer or retrieved from a connected third-party account. Business Customers retain all rights to their own business data and to review content retrieved through connected accounts. You grant us a limited license to use that data solely as necessary to provide the Service.

7. Termination

You may stop using the Service and disconnect any connected accounts at any time. We may suspend or terminate access to the Service if you violate these Terms, if required by law, or if continued provision of the Service to you would violate our obligations to a connected third-party platform, such as Google. Upon termination, your right to use the Service will cease, and we will handle any retained data in accordance with our Privacy Policy.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that review data retrieved from connected third-party platforms will be complete or accurate at all times, as that data originates from those third-party platforms.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Business Reviews will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability arising out of or related to these Terms or the Service will not exceed the amount paid by you to Business Reviews for the Service in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold Business Reviews harmless from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including any connected third-party platform.

11. Changes to the Service and These Terms

We may modify or discontinue features of the Service from time to time. We may update these Terms periodically, and we will post the updated version on this page with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles, and any disputes arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Palm Beach County, Florida.
